Terms and Conditions of Memotale

These Terms and Conditions (“Terms”) govern your use of the website memotale.com and the purchase of products and services offered by Social Eclipse Ltd, trading as Memotale (“Memotale,” “we,” “us,” “our”). By using the Site or placing an order, you agree to these Terms.

1. About Us

Memotale is a trading brand of Social Eclipse Ltd, a company registered in the United Kingdom.

2. Our Services

Memotale creates personalised storybooks based on customer submissions, including text responses and photos. Each book is unique and individually produced for the customer.

3. User Content

To create your book, you may submit personal stories, text, and photos (“User Content”).

By submitting User Content, you confirm that:

  • You own or have the necessary rights to the content you provide.

  • The content does not infringe the rights of any third party.

  • The content is not unlawful, offensive, or otherwise inappropriate.

You grant Memotale a limited, non-exclusive, royalty-free licence to use, reproduce, and process your User Content solely for the purpose of creating and delivering your personalised book. We will never use your content for marketing without your explicit consent.

You remain the owner of your User Content.

4. Orders and Payments

  • To place an order, you must complete the checkout process on our Site.

  • All prices are listed in [currency – e.g. GBP] and include applicable VAT where required.

  • Payment must be made in full at the time of order.

  • Orders are confirmed once payment is successfully processed.

We reserve the right to refuse or cancel any order at our discretion (e.g. if payment fails or User Content breaches these Terms).

5. Personalised Products & Returns

Our products are personalised and created uniquely for each customer. As such, under UK and EU consumer law, personalised goods are not eligible for returns, exchanges, or refunds, unless:

  • The product arrives damaged, or

  • There is a manufacturing defect.

If you receive a defective or damaged product, please contact us within 14 days of delivery with evidence (e.g. photos), and we will arrange a replacement.

6. Delivery

  • Estimated delivery times will be shown during checkout but may vary depending on printing and shipping partners.

  • We are not liable for delays caused by couriers, customs, or circumstances beyond our control.

  • Risk of loss passes to you upon delivery of the product.

7. Intellectual Property

  • All intellectual property rights in the Memotale brand, website, book templates, and artwork remain the property of Social Eclipse Ltd.

  • You may not reproduce, copy, or use any part of our Site or content without prior written consent.

  • Your User Content remains your property, subject to the limited licence granted under Section 3.

8. Prohibited Uses

You may not use our Site or Services to:

  • Upload unlawful, harmful, offensive, or infringing content.

  • Impersonate another person or misrepresent your identity.

  • Interfere with or disrupt the Site’s operation or security.

We reserve the right to suspend or cancel your order if you violate these Terms.

9. Limitation of Liability

  • Memotale is not responsible for errors, omissions, or inaccuracies in the User Content you provide.

  • We are not liable for indirect, incidental, or consequential damages arising from the use of our Services.

  • Our maximum liability to you for any claim relating to an order will not exceed the amount you paid for that order.

Nothing in these Terms excludes liability for fraud, fraudulent misrepresentation, or death/personal injury caused by our negligence.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to Terms

We may update these Terms from time to time. Changes will be effective when posted on this page. Continued use of the Site after changes are made constitutes your acceptance of the updated Terms.
